Select Medical Holdings Insiders Sell US$75m Of Stock, Possibly Signalling Caution
Share
Listen to the news

Many Select Medical Holdings Corporation (NYSE:SEM) insiders ditched their stock over the past year, which may be of interest to the company's shareholders. When evaluating insider transactions, knowing whether insiders are buying is usually more beneficial than knowing whether they are selling, as the latter can be open to many interpretations. However, shareholders should take a deeper look if several insiders are selling stock over a specific time period.

Although we don't think shareholders should simply follow insider transactions, we would consider it foolish to ignore insider transactions altogether.

The Last 12 Months Of Insider Transactions At Select Medical Holdings

Over the last year, we can see that the biggest insider sale was by the Co-Founder & Executive Chairman, Robert Ortenzio, for US$74m worth of shares, at about US$19.55 per share. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. The good news is that this large sale was at well above current price of US$15.46. So it may not tell us anything about how insiders feel about the current share price.

Insider Ownership

I like to look at how many shares insiders own in a company, to help inform my view of how aligned they are with insiders. We usually like to see fairly high levels of insider ownership. Select Medical Holdings insiders own about US$253m worth of shares (which is 12% of the company). Most shareholders would be happy to see this sort of insider ownership, since it suggests that management incentives are well aligned with other shareholders.

So What Does This Data Suggest About Select Medical Holdings Insiders?

It doesn't really mean much that no insider has traded Select Medical Holdings shares in the last quarter. It's great to see high levels of insider ownership, but looking back over the last year, we don't gain confidence from the Select Medical Holdings insiders selling. While it's good to be aware of what's going on with the insider's ownership and transactions, we make sure to also consider what risks are facing a stock before making any investment decision.
